Business Organizations: Statutes, Problems, and Cases is designed for use in an introductory course on Business Organizations or related topics. The book features comprehensive coverage of business law, including agency law; partnerships; corporate law basics; the duties of care and loyalty; derivative lawsuits; closely held corporations; publicly traded corporations; controlling shareholders; mergers and acquisitions (including up-to-date coverage of Delaware law concerning takeover defenses); the Securities Act of 1933; insider trading; limited partnerships; and limited liability companies. Each chapter features learning objectives and well as dozens of problems for in-class discussion that require law students to delve into and apply the applicable statutes and case law. Each chapter also includes several multiple choice questions (more than 200 in all) that students can use to test their mastery of the subject matter, with detailed explanations included in the book's appendix. In sum, Business Organizations will give students, even those with no prior experience with business issues, a solid grounding in the knowledge and skills that all business attorneys should have. Michael K. Molitor is a Professor at Thomas M. Cooley Law School in Grand Rapids, where he has taught since 2004. Before joining Cooley, Professor Molitor practiced corporate and securities law for nearly ten years at Warner Norcross & Judd LLP, a large, full-service law firm based in Grand Rapids, Michigan. He graduated cum laude from Wayne State University Law School in 1994. At Cooley, Professor Molitor teaches courses in Business Organizations, Securities Regulation, and Wills, Estates, and Trusts.
